Our governance

Groupe SOS, a zero-shareholder, non-profit group, is a Union of non-profit organisations. It brings together NPOs, social enterprises and facilities that pool their strengths and work together to share different practices and experiences for the benefit of all.

 

Governance of Groupe SOS non-profit organisations and social enterprises

Groupe SOS non-profit organisations and social enterprises each have their own governance bodies: a president, a vice-president, a steering committee, etc. These bodies, as expected, ensure control and provide guidance. All Groupe SOS organisations are represented on the Board of Directors of the Groupe SOS Union.

The Groupe SOS Union, serving Groupe SOS’s associations and social enterprises

The Groupe SOS Union is made up of:

Voluntary governance

The role of the General Assembly, made up of all the active members of the Union’s associations, and the Union’s Board of Directors, is to define the strategic direction of Groupe SOS, approve the accounts and control the budgets for its activities.

Collegial employee management

The Executive Board is Groupe SOS’s executive body, which implements the policies defined by the Board of Directors. The Executive Board is made up of a Chairman (Jean-Marc Borello) and 9 Executive Vice-Presidents. The decisions of the Executive Board are taken by majority vote.

The Executive Committee, made up of the Managing Directors and cross-functional directors, contributes to the Executive Board’s decision-making process by informing it of the realities of operations on the ground, and implements the policies decided by the Executive Board.

A collegial salaried management

Executive Board

It is the executive body of Groupe SOS and implements the orientations defined by the Board of Directors. The Executive Board is made up of a Chair and 9 Executive Vice-Chairs. Decisions are taken by majority vote.

Executive Committee

It includes the General Managers and the Directors of the cross-functional departments. It participates in decision-making by providing insight into what is really happening on the ground, and implements the orientations decided by the Executive Board.

Cross-functional departments

The cross-functional departments of Groupe SOS (Finance, Development and Innovation, Communications, Purchasing and Sustainable Development, Legal, etc.) are grouped within the General Secretariat and the Office (Cabinet). They provide impetus for cross-functional projects, support for the different trade sectors, and control and consolidation of the legal and financial activities of Groupe SOS.

Regional delegates

The regional delegates act within each region to :

  • Promote the activities of Groupe SOS in their region.
  • Represent Groupe SOS in the business world.
  • Provide support to regional directors.
  • Identify local development opportunities for the Group.
